Public Offer and Terms of Service for Grik.io
1. Acceptance of the Offer and Agreement
This Public Offer and Terms of Service for Grik.io (the 'Terms') are an offer by TK BAZIS-M LLP (the 'Company', 'we', 'us') to enter into an agreement for the use of Grik.io services, including Ricochet for software development and Rico for video generation and editing, together with related websites, applications, extensions, APIs, bots, messenger interfaces, cloud functions, documentation and support (collectively, the 'Services').
A user ('you', 'Customer') accepts this offer when the user creates an account, clicks an acceptance button, pays for a plan, purchases credits, connects BYOK, sends a command through a messenger, or otherwise uses the Services. Upon acceptance, an agreement is formed between the Company and the user on these Terms.
If you use the Services on behalf of an organization, you represent that you have authority to accept these Terms on its behalf. In that case, 'User' means both you and the relevant organization. If a separate written agreement, invoice, order, enterprise agreement or order form expressly conflicts with these Terms, that separate document controls to the extent of the conflict.
The Privacy Policy, Acceptable Use Rules, pricing, limits, documentation, open-source licenses for specific components, and rules for particular models or integrations form part of the agreement to the extent they are published in the Grik.io interface, on https://grik.io, or provided to you when you enable the relevant feature.
2. Definitions
Grik.io means the Company's platform through which Ricochet, Rico and related services are provided.
Ricochet means the product for agentic software development that may assist with writing, editing, analyzing, testing and running code, working with files, repositories, terminals, development environments, CI/CD, APIs and messengers when the relevant permissions are granted.
Rico means the product for generating, editing, transforming, dubbing, rendering and managing videos, images, audio, text prompts, assets and other media using AI models.
BYOK (Bring Your Own Key) means a mode in which the user uses the user's own API keys, accounts, credits or infrastructure of third-party AI providers. The BYOK mode in Grik.io is free with respect to access to the tool, unless additional paid functions are expressly identified.
Hosted Inference means a mode in which the user uses AI models, video models, routing or computing infrastructure provided or paid through Grik.io. This mode may be paid through credits, subscriptions, usage-based charges or invoices.
Credits are internal accounting units of Grik.io used to pay for AI requests, tokens, video renders, queues, compute, cloud functions and other paid operations. Credits are not electronic money, a bank deposit or a monetary obligation of the Company, have no independent cash value and are not redeemable for cash unless required by law.
Inputs are prompts, code, files, repositories, media, images, audio, video, commands, messages, keys, settings, personal data and other materials that you provide or authorize the Services to process. Outputs are code, text, video, images, audio, actions, commands, patches, responses and other results created by the Services or third-party AI providers based on Inputs.
3. Availability, Age and Account
The Services are intended for users who are at least 18 years old or the age of legal capacity in their jurisdiction, if higher. Persons below that age may use the Services only with the consent and under the responsibility of a parent or legal guardian, where permitted by applicable law.
Some features may require an account. You agree to provide accurate and current information, keep passwords, tokens, API keys, messenger keys and other credentials confidential, and notify us immediately of any unauthorized access.
All actions performed through your account, connected messenger, API key, workspace, access token or trusted integration are deemed to have been performed by you unless proven otherwise. You are responsible for users, employees, contractors and other persons to whom you grant access.
If an account is created using a corporate domain, connected to an organization's workspace or paid by an organization, that organization's administrators may access settings, billing, logs, members and workspace materials within the available functionality.
4. License to the Services and Open-Source Components
Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for personal, professional or internal business purposes within the available functionality, plans, limits and documentation.
Certain parts of Ricochet, Rico or Grik.io may be distributed as open source. The applicable open-source licenses published in the repository or distribution govern such components. If an open-source license expressly permits use, copying, modification or distribution of code, that license controls for the relevant component. Online services, cloud infrastructure, Hosted Inference, credits, accounts, billing, brand, hosted features, support and enterprise features are governed by these Terms.
You do not receive any rights to trademarks, domains, designs, interfaces, hosted infrastructure, closed server-side code, routing logic, commercial prompts, pricing logic, documentation, databases, analytics or other Grik.io materials except as expressly granted. Use of the Grik.io, Ricochet, Rico brands and logos requires our written consent, except for fair references to the product.
5. Free BYOK Mode
BYOK is a core free mechanic of Grik.io: the Company does not charge a fee merely for using the tool in BYOK mode by an individual user if you use your own API keys, your own provider accounts or local models and do not enable paid Grik.io functions.
Free BYOK does not mean that third-party AI providers, cloud platforms, messengers, hosting providers, storage providers, payment systems or video-model providers provide their services for free. All costs, limits, suspensions, taxes, data-processing rules and terms of the third-party provider in BYOK mode are between you and the relevant provider.
Where BYOK is configured so that model calls are made directly from your device or from infrastructure you control, the Company does not receive or store your input tokens, output tokens, source code, keys, files or other materials of those model requests. If you enable cloud sync, proxy, remote agent, messenger gateway, team workspace or another hosted Grik.io function, the relevant data may pass through the Company's infrastructure only to the extent necessary to provide the selected function.
We may apply reasonable technical limits to the free BYOK mode for security, anti-abuse, infrastructure protection, legal compliance, spam prevention, DDoS mitigation, mass automation control or prevention of limit circumvention. These limits are not a charge for BYOK but may restrict access to certain hosted functions.
Additional functions on top of BYOK may be paid: team workspaces, cloud history, remote execution, private gateway, hosted agents, secret storage, video hosting, priority queues, analytics, SSO, audit logs, managed deployments, enterprise support and other functions expressly identified as paid.
6. Hosted Inference, Credits, Subscriptions and Pricing
Grik.io may provide paid Hosted Inference, credit top-ups, subscriptions, bonus credit packages, usage-based payment, team plans, enterprise plans, managed hosting and other paid features. Specific prices, limits, models, credit-consumption coefficients, bonuses, taxes, currencies and available payment methods are displayed on the pricing page, in the Grik.io interface, checkout, invoice, order form or billing panel.
The Company may change pricing, credit value, consumption coefficients per model, available models, limits, bonus programs and rounding rules, including due to changes in third-party provider prices, exchange rates, taxes, load, model limitations or infrastructure availability. For active paid subscriptions, we will try to notify you in advance of material adverse changes where reasonably practicable.
Credits may be consumed for input tokens, output tokens, cached tokens, tool calls, embeddings, images, audio, video renders, upscales, storage, queue priority, sandbox compute, remote execution, routing, retries, moderation, logs and other operations indicated in the interface. Operations may be rounded to a minimum charge unit.
A subscription may automatically renew for the selected period until cancelled. To avoid the next charge, the user must cancel the subscription before the renewal date. After monthly credits are used, you may top up, switch plans or continue in BYOK mode where available.
Bonus, promotional, trial or granted credits may have a separate expiry period, may not roll over to the next period and may not be refundable upon cancellation. Purchased credits are valid for 12 months from the purchase date unless a different period is shown in the interface or a longer period is required by law.
If a generation, request or render fails due to a technical issue before the request is sent to a third-party provider or before real costs are incurred, we may automatically return the credits. If a third-party provider has already charged, reserved the queue, started rendering or returned a low-quality result without a technical fault of Grik.io, a credit refund is not guaranteed. The Company may grant goodwill credits at its discretion.
7. Ricochet: Coding Agents, Commands and Remote Actions
Ricochet may read, create, modify, delete and move files, analyze repositories, write code, run terminal commands, install packages, create pull requests, change configurations, interact with APIs, operate through messengers and perform other actions only within the permissions granted by you and the available functionality.
AI agents can make mistakes. Generated code may contain bugs, vulnerabilities, leaked secrets, unsafe dependencies, license conflicts, regressions, incorrect migrations, commands that delete data, or actions that do not match your intent. You must review results, use sandboxes, version control, backups, approvals, secret scanners, tests and human review before applying results in production or sharing them with third parties.
Commands sent from a connected messenger, IDE, CLI, API, web interface or other authorized channel may be treated by Ricochet as your instructions. You are responsible for the security of connected channels, two-factor authentication, allowed-user lists, token storage, permission configuration and confirmation of dangerous actions.
Ricochet must not be used for unauthorized access, bypassing protections, hacking, phishing, credential theft, malware, DDoS, hidden mining, exploitation of third-party systems, evasion of limits or other unlawful actions. Security research is permitted only on systems that you own or for which you have express authorization.
8. Rico: Video, Media and AI Content
Rico may generate, edit, enhance, dub, animate, stylize, render and store videos, images, audio and other media based on your prompts and materials. Results may differ from expectations and may contain artifacts, inaccuracies, similarity to other outputs, synchronization errors and visual or audio defects.
You represent that you have all rights, licenses, permissions and consents for uploaded materials, faces, voices, images, characters, brands, music, data and other elements. You must not use Rico to infringe copyrights, trademarks, likeness rights, privacy, personal data, trade secrets or other third-party rights.
Unauthorized deepfakes, imitation of a real face or voice without consent, misleading political or commercial impersonation, sexual content involving minors or depicting minors, unlawful pornography, threats, harassment, extremism, violence, discrimination, fraud, spam and other prohibited content are not allowed.
If a specific model, provider, free plan or marketplace requires a watermark, attribution, restriction on commercial use or other limitations, you must comply with those limitations. If the Grik.io interface expressly allows commercial use of an output, that permission applies only within the Company's rights, third-party provider terms and applicable law.
9. User Content and Rights to Outputs
You retain rights to your Inputs. To the extent permitted by applicable law and third-party provider terms, you also own or may use Outputs created for you by the Services. The Company does not claim ownership of your private user content.
You grant the Company a limited, non-exclusive, worldwide, royalty-free license to store, transmit, process, display, cache and use your content only to the extent necessary to provide, support, secure, bill, diagnose, comply with law and improve the Services. For private code and private Ricochet projects, we do not use your content to train public Grik.io models without your express consent, except for de-identified and aggregated analytics, security logs, crash reports and cases necessary to comply with law or prevent abuse.
If you publish content in a public gallery, marketplace, templates, community, examples, showcase or provide feedback, you allow the Company to use that published content or feedback to display, promote, improve and demonstrate Grik.io without additional compensation, unless you withdraw the publication within the available functionality.
AI outputs are not guaranteed to be unique. Other users may receive similar or identical code, text, video, image, prompt, structure or idea. You are responsible for evaluating whether an output can be used for your purpose, including legal, technical, commercial, licensing and reputational review.
You are responsible for the legality of Inputs, lawful use of Outputs, obtaining consents, complying with open-source licenses, checking vulnerabilities, labeling AI content where required by law or platform rules, and resolving third-party claims.
10. Third-Party Providers, Models and Integrations
The Services may integrate with third-party AI models, inference providers, video providers, clouds, payment processors, messengers, Git platforms, IDEs, storage providers, APIs, marketplaces and other services. Such third-party services may include language-model providers, video-model providers, model routers, cloud platforms and payment systems.
Third-party services are not owned or controlled by the Company. Your use of third-party services is governed by their own terms, privacy notices, acceptable use policies, prices, limits, data-retention rules, model-training rules and refund rules. You must review and comply with those terms.
In Hosted Inference mode, Grik.io may transmit Inputs to third-party AI providers for processing and receive Outputs from them. We may display information about the provider, model, price and data policy, but do not guarantee that such information is complete or unchanged. Providers may change models, prices, limits, quality, availability, logging rules and data-processing rules.
The Company is not responsible for the acts, omissions, errors, delays, suspensions, leaks, deletion of data, model training, unavailability, refunds, sanctions restrictions, price changes or outputs of third-party providers, except where such responsibility cannot be excluded by law.
11. Privacy, Data and Security
We process personal data and technical data for registration, provision of the Services, billing, support, security, abuse prevention, analytics, legal compliance and communications. Details are described in the Grik.io Privacy Policy when it is published or provided to you.
You represent that you have lawful grounds to transmit data to us and third-party providers, including personal data, code, trade secrets, confidential information, images, voices and other materials. Do not upload data that you are not authorized to process, data of minors without required consent, secrets, passwords, private keys, state secrets, specially protected data or regulated data unless you have proper permissions and security settings.
We use reasonable organizational and technical security measures, but do not guarantee absolute security. You are responsible for access settings, 2FA, key storage, backups, permission separation, secrets, log review, and the security of your devices, repositories, messengers and clouds.
If you choose to store API keys, tokens or secrets in Grik.io, we may store them in encrypted or protected form within available technical measures. If you do not want to transmit keys to the Company, use local BYOK mode or infrastructure that you control.
12. Prohibited Use
You may not use the Services for unlawful, harmful, misleading, rights-infringing or unsafe activity, including: violation of law; infringement of intellectual property, likeness, privacy or personal data rights; uploading materials without rights; spam; fraud; phishing; credential harvesting; malware; ransomware; DDoS; botnets; unauthorized access; limit circumvention; exploitation of third-party systems; unlawful surveillance; discrimination; threats; harassment; extremism; sexual exploitation; content involving minors; self-harm; illegal goods and services; election manipulation; or presenting AI content as human where prohibited or misleading.
You may not attempt to circumvent technical limits, payment systems, safety filters, rate limits, watermarking, attribution, access control, sandboxing, model routing or other protective measures. Resale of Hosted Inference, credits, accounts, keys or access to Grik.io requires the Company's written consent.
We may refuse generation, block a prompt, stop an agentic action, remove content, restrict a model, freeze credits, suspend or delete an account, notify a rights holder, payment system, provider or competent authority if we believe use violates these Terms, law, third-party rights or creates risk to users, the Company or infrastructure.
13. Rights-Infringement Complaints
If you believe content in Grik.io infringes your copyright, trademark, likeness right, privacy or other rights, send a notice to the Company's e-mail. The notice should include: your name and contact details; a description of the infringed right or work; a link or description of the disputed content; a statement of good-faith belief that infringement occurred; confirmation that the information is accurate; and a signature or electronic confirmation of an authorized person.
We may remove or restrict access to disputed content, request additional information, forward the notice to the user, restore content where appropriate or take other measures. The user who posted disputed content may submit a counter-notice confirming lawful use.
14. Changes, Beta Features and Availability
The Services evolve quickly. We may add, change, restrict, suspend or discontinue features, models, plans, integrations, APIs, interfaces, extensions, bots, queues, free features and beta features. Free features may become paid in the future, but an already paid active subscription period will not be changed retroactively unless required by law or related to abuse.
Beta, experimental, preview, early access, free, community and trial features are provided without warranties and may be unstable, limited, queued, watermarked, subject to data deletion, quality changes and lack of support. We do not guarantee that the Services will be uninterrupted, timely, secure, error-free or compatible.
15. Payment, Taxes and Refunds
Payments may be accepted through banks, payment providers, app stores, crypto payments or other methods available in Grik.io. Payment providers may charge fees, apply their own refund rules, KYC, anti-fraud checks, chargeback procedures and restrictions.
Unless stated otherwise in the interface, prices do not include taxes, duties, bank fees, exchange-rate differences, payment-system fees and withholdings that may apply to your payment. The user is responsible for taxes arising in the user's jurisdiction unless required otherwise by law.
Digital services, credits, subscriptions, renders and inference are generally made available immediately after payment or activation, and payments are non-refundable except as expressly stated in the interface, required by applicable law or agreed by the Company. Cancelling a subscription stops future charges but does not automatically refund the already started paid period unless required by law.
If the Company discontinues a paid service without your breach, we may provide a proportional refund, credits, migration to another plan or another reasonable option. If access is blocked for breach of these Terms, abuse, chargeback, unauthorized use or violation of law, a refund may be denied to the maximum extent permitted by law.
16. Suspension and Termination
You may stop using the Services at any time and delete your account where that function is available. Some data may remain in backups, security logs, billing, financial records, legal holds or aggregated analytics for the period necessary for lawful purposes.
We may suspend, restrict or terminate your access without prior notice if we believe that you violated these Terms, law, third-party rights, provider rules, payment rules, security, limits, sanctions restrictions or create risk for users, infrastructure, providers or the Company.
After termination, you must stop using paid hosted features, accounts, keys and closed Grik.io materials. Sections concerning rights, payments, confidentiality, prohibited use, disclaimers, liability, indemnity, law and disputes survive termination.
17. Disclaimer of Warranties
The Services, AI models, Outputs, agentic actions, video results, code, suggestions, recommendations, integrations and documentation are provided 'as is' and 'as available'. To the maximum extent permitted by law, the Company gives no warranties of accuracy, completeness, reliability, security, compatibility, fitness for a particular purpose, absence of errors, continuity, non-infringement, merchantability or meeting your expectations.
The Services are not legal, medical, financial, investment, tax, cybersecurity or other professional advice. You must independently verify results and engage professionals where necessary.
18. Limitation of Liability
To the maximum extent permitted by law, the Company is not liable for indirect, incidental, special, punitive or consequential damages, loss of profits, revenue, data, reputation, goodwill, business, opportunities, anticipated savings, production incidents, downtime, vulnerabilities, code errors, failed deployment, failed render, third-party provider suspensions or cost of substitute services.
To the maximum extent permitted by law, the Company's aggregate liability for any claims related to the Services or these Terms is limited to the amount actually paid by you to the Company for the Services during the 6 months preceding the event giving rise to the claim. For free BYOK use, the Company's liability is limited to the equivalent of USD 100 unless a higher limit is required by law.
Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.
19. Indemnity
If you use the Services as an organization, entrepreneur, developer, product owner, agency or for commercial purposes, you agree to defend, indemnify and hold harmless the Company, its officers, employees, contractors, suppliers and affiliates from claims, losses, penalties, costs and expenses, including reasonable legal fees, arising from your Inputs, Outputs, agentic actions, breach of these Terms, violation of law, infringement of third-party rights, use of third-party providers, users of your workspace or persons who gain access through your credentials.
For consumers, this provision applies only to the extent permitted by mandatory consumer protection law.
20. Governing Law, Negotiations and Disputes
These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict-of-law rules, unless mandatory consumer law in the user's country requires otherwise.
Before filing a claim, the parties will attempt to resolve the dispute through negotiations. A party sends a written dispute notice to the other party's e-mail or registered address. If the dispute is not resolved within 30 calendar days after receipt of the notice, either party may bring the dispute before the competent court of the Republic of Kazakhstan at the Company's registered location, unless mandatory law requires another venue.
The Company may seek interim measures, injunctions, blocking of violations, intellectual property protection, debt collection or prevention of abuse in any competent court or before any competent authority where necessary to protect rights, users, infrastructure or comply with law.
21. Miscellaneous
We may update these Terms. A new version takes effect upon publication unless a later date is specified. If a change materially worsens the terms of an active paid subscription, we will try to notify you at least 30 days in advance where reasonably practicable. Continued use of the Services after changes take effect means acceptance of the new version.
You may not assign rights or obligations under these Terms without the Company's written consent. The Company may assign rights and obligations to an affiliate, successor, purchaser of business or assets, or supplier, provided that this does not violate your mandatory rights.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be enforced to the maximum permissible extent or replaced by a provision closest to the original purpose.
The Russian and English versions of these Terms are provided for user convenience. In case of inconsistency, the Russian version prevails unless mandatory applicable law requires otherwise.
